Terms and Conditions

Effective Date: September 21, 2026

These Terms and Conditions (“Terms”) govern the use of services provided by Pyros LLC (“Pyros,” “we,” “us,” or “our”).

By engaging Pyros for consulting or business support services, you agree to these Terms and any additional terms contained in a service agreement, quotation, proposal, or other written agreement applicable to the specific services you purchase.

If there is a conflict between these Terms and a specific written service agreement, the terms of the specific service agreement will prevail to the extent of that conflict.

1. Our Services

Pyros provides consulting and business support services for international companies and entrepreneurs establishing or operating businesses in Japan.

Our services may include:

  • Japan market-entry support
  • Business setup and company registration support
  • Government procedures and documentation support
  • Government subsidy and support-program assistance
  • Local business coordination
  • Business development and project coordination
  • Ongoing business support
  • Other consulting services agreed with the client

The specific scope, deliverables, fees, schedule, and other conditions of a particular engagement will be set out in a quotation, proposal, service agreement, or other written communication agreed between Pyros and the client.

2. Nature of Our Services

Unless expressly agreed otherwise in writing, Pyros provides consulting, coordination, administrative support, and business assistance.

Pyros does not guarantee the approval, acceptance, funding, registration, licensing, visa or status-of-residence decision, subsidy award, government decision, business partnership, investment result, or other outcome that is ultimately determined by a government authority, financial institution, business partner, professional adviser, or other third party.

Where a matter requires services that must legally be provided by a licensed or qualified professional in Japan, Pyros may coordinate with or refer the client to an appropriate professional.

3. Service Fees and Payment

Fees for Pyros services will be specified in the applicable quotation, proposal, invoice, or service agreement.

Unless otherwise stated:

  • Fees are payable according to the payment terms specified in the applicable agreement or invoice.
  • Applicable consumption tax and other legally required charges may be added to the stated fees.
  • Third-party costs, government fees, registration fees, professional fees, translation fees, transportation expenses, and other external costs may be charged separately where applicable.
  • Work may be suspended if required payments are overdue.

Once work has commenced, fees for services already performed or expenses already incurred remain payable unless otherwise agreed in writing or required by applicable law.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information and documents required for the services.

You agree to:

  • Provide accurate and complete information.
  • Inform Pyros promptly of any changes that may affect the services.
  • Provide requested documents within reasonable deadlines.
  • Review documents and information supplied by Pyros and notify us of any errors or omissions.
  • Cooperate with reasonable requests necessary to complete the agreed services.
  • Pay applicable fees and expenses according to the agreed payment terms.

Pyros is not responsible for delays, additional costs, or unsuccessful outcomes resulting from inaccurate, incomplete, misleading, or late information or documents provided by the client.

5. Government Applications and Third-Party Decisions

Many services provided by Pyros involve government authorities, municipalities, financial institutions, professional advisers, business partners, or other third parties.

Pyros may assist with preparation, coordination, communication, submission, and follow-up, but the final decision remains with the relevant authority or third party.

Pyros does not guarantee:

  • Approval of a visa or status of residence
  • Company registration or licensing approval
  • Government subsidy approval or payment
  • Approval of permits or applications
  • Opening of a bank account
  • Acceptance by a business partner or supplier
  • Any specific business, financial, or commercial result

Any estimated timeframe provided by Pyros is an estimate and may change because of circumstances outside our reasonable control.

6. Confidentiality

Pyros will handle confidential business and personal information provided by clients with reasonable care and will not intentionally disclose such information except where:

  • Disclosure is necessary to provide the agreed services;
  • Disclosure is made to relevant professional advisers, contractors, or service providers assisting with the engagement;
  • Disclosure is required by law, regulation, court order, or government authority;
  • The information has already become publicly available through no breach of these Terms; or
  • The client has authorized or requested the disclosure.

The handling of personal information is also subject to the Pyros Privacy Policy.

7. Intellectual Property and Documents

Unless otherwise agreed in writing, materials, documents, templates, methodologies, processes, and other materials developed or provided by Pyros as part of its general business operations remain the property of Pyros or their respective owners.

Documents prepared specifically for a client may be used by that client for the purpose for which they were prepared, subject to any applicable third-party rights or separate contractual terms.

Clients must not reproduce, resell, distribute, or commercially exploit Pyros’s proprietary materials without prior written permission.

8. Limitation of Liability

Pyros will provide its services with reasonable care and in accordance with the applicable agreement.

To the maximum extent permitted by applicable law, Pyros will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the services, including loss of profits, business opportunities, or expected business results.

Where Pyros is legally liable for a direct loss arising from a particular service, Pyros’s liability will, to the extent permitted by applicable law, be limited to the fees actually paid to Pyros for that specific service.

This limitation does not apply to the extent that liability cannot legally be limited or excluded under applicable law.

9. Cancellation and Termination

Either Pyros or the client may terminate an ongoing engagement in accordance with the termination provisions of the applicable service agreement.

If no specific termination terms have been agreed, either party may request termination by providing written notice.

Upon termination:

  • The client remains responsible for fees for services already performed.
  • The client remains responsible for approved expenses and third-party costs already incurred.
  • Pyros may provide the client with completed work and relevant documents, subject to payment of outstanding amounts and any applicable legal or contractual restrictions.

Termination does not affect rights or obligations that arose before termination.

10. Delays and Events Beyond Our Control

Pyros will make reasonable efforts to perform services within the agreed timeframe.

However, Pyros will not be responsible for delays caused by circumstances beyond its reasonable control, including government processing delays, changes in laws or regulations, natural disasters, system failures, transportation disruptions, communication failures, actions of third parties, or other events that could not reasonably have been prevented.

Where such circumstances occur, Pyros will make reasonable efforts to inform the client and adjust the schedule as appropriate.

11. Changes to Services

The scope of a project may change if the client’s circumstances, requirements, government requirements, or other relevant conditions change.

Additional work outside the original agreed scope may be subject to additional fees.

Where reasonably practicable, Pyros will discuss any significant changes in scope and related fees with the client before proceeding.

12. Applicable Law and Jurisdiction

These Terms and the relationship between Pyros and the client will be governed by the laws of Japan, unless otherwise required by applicable law or expressly agreed in writing.

Any dispute arising out of or relating to these Terms or services provided by Pyros will first be addressed through good-faith discussion between the parties.

If the dispute cannot be resolved through discussion, the parties agree to submit the matter to the jurisdiction of the appropriate courts in Japan, subject to applicable law.

13. Changes to These Terms

Pyros may update these Terms from time to time to reflect changes in its services, business practices, or applicable laws and regulations.

Updated Terms will be published on this website with a revised effective date.

For existing clients, the terms applicable to an existing engagement will generally remain governed by the agreement in effect for that engagement unless otherwise agreed or required by law.

14. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be limited or removed to the extent necessary, while the remaining provisions will continue to apply to the extent permitted by law.
